- Entrant must be a legal United States resident. Void in Guam, Puerto Rico, and all other US territories;
- Entrant must be at least eighteen (18) years of age;
- Entrant must NOT be under any contractual obligation that would conflict with this Contest or the Official Rules, including but not limited to obligations under professional guild obligations, talent agent, or talent management agreements;
- Entrant can participate either solo or as part of a group (as described below), but not both:
- Solo: Submission features ONLY the eligible Entrant
- Group: Submission features multiple individuals performing as one (1) group in compliance with these Official Rules. Failure of any member of the Group to meet the eligibility requirements may result in disqualification of the entire Group, at the sole discretion of the Sponsor. The Entrant who is responsible for posting the Group Submission will be appointed as the “Designated Contact” for the Group and will be responsible for fulfilling all Submission requirements.
- Entrant must be a registered user of Instagram or TikTok to participate in the Contest. Registration on each Social Media Platform is free as of publication of these Official Rules and can be obtained by following the on-screen instructions at www.instagram.com, or www.tiktok.com, respectively. The Social Media profile used for entry must be set to public for the duration of the Contest and for at least thirty (30) days following the end of the Contest Period. Entrant must be the rightful owner (or have authorized use) of the social media account associated with their Submission (defined below); and
- Entrant must NOT be an employee of the Contest Entities (UnitedMasters, Intuit, and LaRussell/Goodcompenny), or their respective agencies, shareholders, officers, directors, members, successors, agents, or assigns nor can Entrant be an Immediate Family Member and/or Household Member of such persons.
- Create a wholly original verse chronicling Entrant’s own personal, professional and/or financial independence and prosperity (the "Track")
- Perform the Track in the form of a TikTok Duet or Instagram Remix by following the on-screen instructions for each Social Media Platform
- Caption the Duet or Remix using the required hashtags #IntuitBreakthrough and #IntuitContest
- Tap "Post" to publish the Duet or Remix and receive one (1) entry into the Contest. Limit one entry per person/group.
The Submission must:
- Chronicle the Entrant’s personal, professional and/or financial independence and prosperity.
- Include a wholly original Track (as defined above) consisting of lyrics, vocals produced and performed by the Entrant or Entrant’s Group (proof of the original status of the Track must be provided to the Contest Entities upon request) as a Duet or Remix with LaRussell’s original video and track;
- The Entrant (or Entrant’s Group, if applicable) must be the rightful owner of Entrant’s Track and have all rights necessary to submit the Track for the Contest in compliance with the Official Rules;
- Match the length of LaRussell’s original video and track;
- Include both required hashtags #IntuitBreakthrough and #IntuitContest; and
- Comply with the Terms of Use for the Social Media Platform used for entry.
The Submission must NOT:
- Include personally identifiable information or any individuals other than the Entrant (or Entrant’s Group, if applicable), unless such other individuals have provided the Entrant their express written permission to appear in the Submission, proof of which may be requested at the sole discretion of the Contest Entities;
- Show or promote unlawful activities or any activities that may appear unsafe or dangerous;
- Contain any content that is lewd; obscene; sexually explicit; pornographic; disparaging; defamatory; libelous; violent; or derogatory of any ethnic, racial, gender, religious, professional or age group or that otherwise contains inappropriate content or offensive or objectionable material (including but not limited to profanities) as determined by Sponsor in its sole and unfettered discretion;
- Contain commercial content or prominently display brand names or logos of third parties, except those relating to the Contest Entities and otherwise used in accordance with these Official Rules;
- Contain any derogatory references to any Contest Entities, or a third party; or
- Involve or include the services of any individual under any contractual obligation that would conflict with this Contest or the Official Rules, including but not limited to obligations under professional guild obligations, talent agent, or talent management agreements that may prohibit Entrant from participating fully in this Contest.
Eligible Submissions will be judged in accordance with the following weighted criteria Judging Criteria:
- Verse Relevance to Financial Independence/Prosperity: 50%
- Originality: 25%
- Overall Quality: 25%
Submissions will be judged by the Contest Entities. The Submission with the highest total score will be deemed the winning Submission. In the event of a tie, the tied Submissions will be re-evaluated with the aforementioned criteria. Judges' decisions are final and binding. Final Judges' scores will not be revealed or publicly announced.
No, there is a limit one (1) Submission per Entrant (regardless of whether Solo or in a Group) for the duration of the Contest Period.
- Twenty thousand dollars ($20,000.00 USD), awarded in the form of a check to the Winner (or split equally among the Winner’s Group)
- The opportunity for the Winner (or Winner’s Group) to attend a LaRussell Backyard Block Party and perform with LaRussell, schedules permitting.
- The opportunity for the Winner's Track to be produced and mastered together with the LaRussell track for exclusive distribution through UnitedMasters for a period of 12 months. A pre-fixed royalty rate of 15% will be allocated to the Winner (or split between the Winner’s Group) for Entrant’s lyrics and publishing. All music/composition is owned by LaRussell. Payments/royalties through UnitedMasters are subject to UnitedMasters’ then-current separate Terms and Conditions and Agreements. See United Masters FAQ for more details;
- Twenty-five hundred dollars ($2,500.00), awarded in the form of a check to help offset the cost of travel for the Winner (or Winner’s Group) to the Backyard Block Party, if attended;
- A single, one (1) year subscription for each of the following Intuit products: TurboTax Live (Full Service Self-Employed); QuickBooks (Online Plus); Mailchimp (Premium), which can be used by either a Solo individual or a single Group as one business entity;

The Breakthrough Contest
OFFICIAL RULES
1. DESCRIPTION: The Breakthrough Contest (the "Contest") invites eligible entrants (each, an “Entrant” and collectively, “Entrants”) to compete for $20,000 and other prizes, as described herein. The Contest begins on or about Friday, March 10, 2023 and ends at 9:00 pm Pacific Time (“PT”) on Monday, March 20, 2023 (the “Contest Period”). The sponsor of this Contest is UnitedMasters, Inc., 10, Jay Street, Brooklyn, NY 11201 (“Sponsor”). The presenter of this Contest is Intuit, Inc. (“Presenter”). The Sponsor and Presenter, along with LaRussell are collectively referred to below as the “Contest Entities”. Entrants are providing information to Sponsor, and not to Instagram or TikTok. This Contest is in no way sponsored, endorsed, administered by, or associated with Instagram or TikTok. The Contest is void where prohibited or restricted by law.
2. ELIGIBILITY: Entrants must meet the following eligibility criteria:
- Entrant must be a legal United States resident physically residing within the fifty (50) United States or the District of Columbia. Void in Guam, Puerto Rico and all other U.S. territories and possessions and where restricted or prohibited by law;
- Entrant must be at least eighteen (18) years of age and the age of majority in their state of primary residence at the time of entry and meet all other requirements in these Official Rules;
- Entrant must NOT be under any contractual obligation that would conflict with this Contest or the Official Rules, including but not limited to obligations under professional guild obligations, talent agent, or talent management agreements;
- Entrant can participate either solo or as part of a group (as described below):
- Solo: Submission (as defined in Section 3) features ONLY the eligible Entrant in compliance with these Official Rules.
- Group: Submission features multiple individuals performing as one (1) group (each, a “Group”) in compliance with these Official Rules. Failure of any member of the Group to meet the eligibility requirements may result in disqualification of the entire Group, at the sole discretion of the Sponsor. The Entrant who is responsible for posting the Group Submission will be appointed as the “Designated Contact” for the Group and will be responsible for fulfilling all Submission requirements as stated herein.
- Entrant must be a registered user of Instagram or TikTok (collectively, the “Social Media Platforms”) to participate in the Contest. Registration on each Social Media Platform is free as of publication of these Official Rules and can be obtained by following the on-screen instructions at www.instagram.com, or www.tiktok.com, respectively. The Social Media Platform used for entry must be set to public for the duration of the Contest and for at least thirty (30) days following the end of the Contest Period. Entrant must be the rightful owner (or have authorized use) of the social media account associated with their Submission (defined below); and
- Entrant must NOT be an employee of the Contest Entities or their respective agencies, shareholders, officers, directors, members, successors, agents or assigns nor can Entrant be an Immediate Family Member and/or Household Member of such persons. For purposes of the Contest, "Household Members" means those people who share the same residence at least three months a year, whether or not related; "Immediate Family Members" means parents, stepparents, legal guardians, children, step-children, siblings, step-siblings, or spouses, regardless of where they live.
3. HOW TO ENTER: The Contest will begin with posting of LaRussell’s original video for duet on TikTok and for remix on Instagram (each an "Announcement Post"). Immediately following each Announcement Post, eligible Entrants must complete the following steps to submit on behalf of themselves or their Group:
- Create a wholly original verse chronicling the Entrant’s personal, professional and/or financial independence and prosperity (the "Track") as further described herein;
- Perform the Track in the form of a TikTok Duet or Instagram Remix by following the on-screen instructions for each Social Media Platform;
- Caption the Duet or Remix using the required hashtags #IntuitBreakthrough and #IntuitContest ; and
- Tap 'Post' to publish the Duet or Remix and receive one (1) entry into the Contest.
The Duet or Remix featuring the Entrant's Track along with the caption using the required hashtags #IntuitBreakthrough and #IntuitContest shall collectively be referred to as the "Submission". For aggregating purposes, the hashtags must appear in the caption of the Submissions (not the comments). By posting a Submission, Entrant represents and warrants that they are the rightful owner of the Submission and have all the necessary rights to use the Submission for the Contest.
Limit one (1) Submission per Entrant (regardless of whether Solo or in a Group) for the duration of the Contest Period. Submissions must be received by Monday, March 20, 2023 at 11:59:59 pm PT. All Submissions must remain available on TikTok or Instagram for thirty (30) days following the Contest Period for judging and notification purposes. If Submissions exceed the Submission limitations of one (1) Submission per person, only the first eligible Submission will be eligible for consideration.
The Submission must:
- Chronicle the Entrant’s personal, professional and/or financial independence and prosperity.
- Include a wholly original Track consisting of lyrics, vocals produced and performed by the Entrant or Entrant’s Group (proof of the original status of the Track must be provided to the Contest Entities upon request);
- The Entrant (or Entrant’s Group, if applicable) must be the rightful owner of the Track and have the rights necessary to submit the Track for the Contest in compliance with these Official Rules;
- Match the length of LaRussell’s original video;
- Include both required hashtags #IntuitBreakthrough and #IntuitContest; and
- Comply with the Terms of Use for the Social Media Platform used for entry.
The Submission must NOT:
- Include personally identifiable information or any individuals other than the Entrant (or Entrant’s Group, if applicable), unless such other individuals have provided the Entrant their express written permission to appear in the Submission, proof of which may be requested at the sole discretion of the Contest Entities;

- Involve or include the services of any individual under any contractual obligation that would conflict with this Contest or the Official Rules, including but not limited to obligations under professional guild obligations, talent agent, or talent management agreements that may prohibit Entrant from participating fully in this Contest.
NOTE ABOUT SOCIAL MEDIA PLATFORMS: Contest Entities are not responsible for any changes or unavailability of the Social Media Platforms that may interfere with the Contest (including any limitations, any restrictions, or any conditions on Sponsor's ability to use the Social Media Platforms as set forth herein) or ability of Entrant to timely enter, receive notices or communicate with Sponsor via the Social Media Platform, in which case Sponsor, in its sole discretion, may terminate or modify the Contest.
Sponsor reserves the right to edit (or request the Entrant edit) Submissions by suppressing music or removing logos or backgrounds (if applicable) to comply with the Official Rules. Sponsor reserves the right to disqualify an Entrant's Submission that it deems, in its sole discretion, to be a violation of the Official Rules or that is not in keeping with Sponsor's image or which communicates messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate. False or deceptive acts or Submissions, or Submissions generated by script, macro or other automated means will be void, will render an Entrant ineligible, and also may result in Entrant no longer being allowed to enter Sponsor's sweepstakes, contests or other promotions in the future, at Sponsor's sole discretion. All Submissions become the property of Sponsor and will not be acknowledged or returned.
Entrants must provide all information requested. Incomplete, unreadable or unintelligible Submissions will be disqualified. Participation in the Contest constitutes Entrant's understanding of full and unconditional agreement to, and acceptance of these Official Rules. Sponsor reserves the right to disqualify any Entrant that Sponsor determines to be in violation of any term contained in these Official Rules. Sponsor's decision not to enforce a specific provision of these Official Rules does not constitute a waiver of that provision or of the Official Rules generally. Further, by submitting a Submission, Entrant (or Entrant’s Group, if applicable) gives Sponsor the rights to use the Submission for any other promotional purposes as set forth more completely below.
Important – General Grant of Rights (All Entrants): Entrant's Submission may appear on the Sponsor's social media accounts including, but not limited to, Facebook, Twitter, Tik Tok and Instagram, and in advertising for Sponsor on-air, off-air and on Sponsor's website. If Entrant does not want their Submission to be used in the manner set forth herein, they should not enter the Contest. By entering the Contest, each Entrant grants Contest Entities the transferrable non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the Submission and to incorporate the Submission in other works in any and all markets and media worldwide, now known or hereafter developed, in perpetuity, unless prohibited by law.
SEE SECTION 7 FOR ADDITIONAL RIGHTS AND EXCLUSIVITY RELATED TO THE WINNING SUBMISSION.
Entrants warrant that they have the sole and exclusive right to grant such rights to Sponsor and that the Sponsor's reproduction, publishing, displaying, and/or other use of the Submission will not infringe on any rights of third parties, including, without limitation, copyright, trademark, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. If the Submission includes an identifiable person other than the Entrant, the Entrant represents and warrants that they have obtained the consent of such person(s) to the use of the Submission as outlined herein and such person may be required to provide written consent to the Contest Entities' use of the Submission. Sponsor is not obligated to use any of the above-mentioned information or materials but may do so and may edit such information or materials, in Sponsor's sole discretion, without further obligation or compensation.
4. CONTEST JUDGING: Throughout and immediately following the Contest Period, eligible Submissions will be reviewed and evaluated by representatives of the Contest Entities (the “Judges”) to select one (1) potential winner. Eligible Submissions will be judged in accordance with the following weighted criteria (“Judging Criteria”):
- Verse Relevance to Financial Independence/Prosperity: 50%
- Originality: 25%
- Overall Quality: 25%
The Submission with the highest total score among all Judging Criteria will be deemed the potential winning Submission, and subject to verification of eligibility and compliance with these Official Rules, the potential winning Submission will be declared the official "Winning Submission". In the event of a tie, the tied Submissions will be re-evaluated by the Contest Entities in accordance with the aforementioned criteria, and the Submission with the highest rating will be deemed the potential Winning Submission. Judges' decisions are final and binding. Final Judges' scores will not be revealed or publicly announced. Sponsor reserves the right to adjust or extend the Contest Period if, in Sponsor's sole discretion, it does not receive a sufficient number of eligible and qualified Submissions.
5. WINNER NOTIFICATION: As a condition of participation, the Entrant agrees to be contacted by the Sponsor via the Social Media Platform associated with their Submission. On or about March 23, 2023, the Entrant associated with the potential Winning Submission as determined by the judging results (the "Potential Winner") will be contacted via either direct message or a public-facing comment on the Social Media Platform associated with the Submission. The Potential Winner will be required to respond (as directed by the Sponsor) to the notification within forty-eight (48) hours (or a shorter time if required by exigencies) to provide their email address for formal notification purposes. The Potential Winner will be required to complete, sign and return any documentation which Sponsor may require, including, but not limited to, an Affidavit of Eligibility, release of liability, publicity release form (the "Contest Documents"). If the Potential Winner is the Designated Contact for a Group, all members of the Group will be required to execute the Contest Documents. If the Potential Winner or a Group Member fails to sign and return the required documents or provide any other requested information within the required time period, the Potential Winner or entire Group may forfeit the prize and an alternate Potential Winner will be selected based on the judging results. The Contest Entities will attempt to contact up to three (3) Potential Winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed. Pending satisfactory completion of the required Contest Documents, the Potential Winner (including the entire Group, if applicable) will be confirmed as the Winner. Winner is solely responsible for all federal, state and/or local taxes and for any other fees or costs associated with the prize they receive. Winner (and each Group Member, if applicable) must provide Sponsor with a valid social security number for tax reporting purposes before the prize can be awarded. An IRS Form-1099 will be issued to the Winner (and each Group Member, if applicable) for the actual value of the prize or portion of the prize received for the year in which the prize was awarded.
6. PRIZE (1 AVAILABLE): Sponsor is the Prize Provider and the Prize has an approximate retail value (“ARV”) of $28,179.
The prize package consists of:
- Twenty thousand dollars ($20,000.00), awarded in the form of a check to the Winner (or split equally among the Winner’s Group, if applicable);
- The opportunity for the Winner (or Winner’s Group, if applicable) to attend LaRussell’s Backyard Block Party (the “Concert”) and perform with LaRussell;
- The opportunity for the Winner's Track to be produced and mastered for exclusive distribution through UnitedMasters for a period of 12-months (the “Distributed Track”). A pre-fixed royalty rate of 15% will be allocated to the Winner (or split between the Winner’s Group, if applicable) for songwriting and publishing. Payments/royalties through UnitedMasters are subject to separate Terms and Conditions and Agreements. See FAQ for more details;
- Twenty-five hundred dollars ($2,500.00), awarded in the form of a check to help offset the cost of travel for the Winner (or Winner’s Group, if applicable) to the Backyard Block Party;
- A one (1) year subscription for each of the following Intuit products: TurboTax Live (Full Service Self-Employed, ARV: $399.00); QuickBooks (Online Plus, ARV: $1,020.00); Mailchimp (Premium, ARV: $4,200.00)
- One-year subscription to UnitedMasters (SELECT , ARV: $60.00) for the Winner and each member of the Winner’s Group (if applicable). Subscription subject to separate terms, conditions, limitations, and restrictions found by visiting https://unitedmasters.com/terms.
Winner (and Winner’s Group, if applicable) is responsible for booking their own travel. Any costs of travel exceeding the allowance provided herein shall be the sole responsibility of the Winner (or Winner’s Group, if applicable). For the avoidance of doubt, the Winner shall be solely responsible for all costs, expenses, and incidentals including, but not limited to, additional ground transportation, meals, beverages, gratuities, phone calls, insurance, taxes, and any other expenses not specifically mentioned as being included. Participation in the Concert is for the Winner (or Winner’s Group) only; no guests are permitted to attend. If the Concert does not or cannot take place as scheduled for any reason, the Winner (and Winner’s Group, if applicable) will receive the remaining components of the prize, which shall constitute full satisfaction of Sponsor's prize obligation and no other or additional compensation will be awarded. During the Concert, Winner (and Winner’s Group, if applicable) shall not commit any act that Sponsor determines might shock, insult, or offend the talent or constitute inappropriate behavior. If a Winner (or Group Member) engages in obnoxious, threatening, illegal, profane behavior or that is otherwise offensive or inappropriate, Contest Entities reserve the right to terminate participation in the Concert with no other further obligation. Other restrictions may apply. No substitutions or transfers of a prize, except at Sponsor's discretion. Prizes are provided "as is" with no warranty or guarantee, either express or implied.
Only one (1) subscription to each Intuit product listed above will be provided to the Winner (or to Winner’s Group, if applicable). Furthermore, Winner (or Winner’s Group, if applicable) must sign up for all product subscriptions with ninety (90) days of winning the contest to receive the free one-year subscriptions.
By accepting the prize and participating in the Concert, the Winner (and Winner’s Group, if applicable) expressly assumes the risk that they may be exposed to COVID-19, the Coronavirus that causes COVID-19, or other communicable and/or infectious diseases. Winner (and Winner’s Group, if applicable) expressly understands that these risks include contracting COVID-19 or other communicable and/or infectious diseases and the associated dangers, medical complications and physical and mental injuries, both foreseen and unforeseen, that may result from contracting COVID-19 or other communicable and/or infectious diseases. Sponsor may opt to substitute the in-person Concert with a virtual Concert or performance at their sole discretion should travel or other restrictions make the in-person session impractical or impossible.
During or prior to the Concert, Winner (and Winner’s Group, if applicable) may be required to execute a Confidentiality/Non-Disclosure Agreement and other agreements and releases as required by the Sponsor in its sole discretion.
In addition, the Winner (and Winner’s Group, if applicable) must agree to be photographed, videotaped, interviewed, and participate in other activities as directed on-site (the “Production”), including but not limited to executing a publicity release under terms set by the Contest Entities, without any further compensation to Winner (or Winner’s Group). Participation in the Concert shall constitute and signify agreement and consent that Contest Entities and their designees may use Production materials including but not limited to the Winner’s (and Group Member’s, if applicable) name, city, state, likeness, for promotional, advertising or other purposes, worldwide, in perpetuity, in any and all media now known or hereafter devised, including the Internet, in any manner, without limitation and without any further payment, notification, permission or other consideration, except where prohibited by law.
7. LICENSE TO WINNING SUBMISSION & EXCLUSIVITY: By entering the Contest and accepting the prize,
Winner (and Winner’s Group, if applicable) agrees that Contest Entities will have a perpetual, irrevocable, royalty-free, worldwide, exclusive, sublicensable, assignable, license to publish, reproduce, publicly display, publicly perform, distribute, adapt, edit, modify, translate, synchronize, create derivative works based upon, and otherwise use and exploit in any manner or media (now known or later developed) for other advertising, marketing, and promotional purposes (the “License”) both the original Track and final Distributed Track and Submission for a period of 12-months. During this exclusivity period, Winner (and Winner’s Group, if applicable) agrees not to license the Track, the music therein or any other element of the recording to third parties. After the exclusivity period, Winner (and Winner’s Group, if applicable) agrees not to license any element of the Track (initial or final) to competitors of Contest Entities for a period of 36-months. Competitors of Contest Entities consist of any entity engaged in (a) consumer financial services (e.g., consumer banking, payments, lending, credit cards, credit reporting/monitoring, financial planning, (b) small business management (e.g., small business accounting, payroll, payments, email marketing, marketing automation, website creation/hosting and ecommerce), and (c) tax preparation, tax filing and tax planning.
8. USE OF WINNER’S NAME AND LIKENESS: To the fullest extent permitted by applicable law, participation in the Contest and acceptance of the prize constitutes permission to use the Winner’s (or Group’s), original Track, Distributed Track, Submission, name, hometown, aural and visual likeness and prize information for advertising, marketing, and promotional purposes without further permission or compensation. Through December 30, 2023 (the “Term”), Winner (or Winner’s Group, if applicable) will not authorize the use of their or likeness or any existing or new works within the United States or Canada in connection with any advertising, publicity or promotion of: (a) consumer financial services (e.g., consumer banking, payments, lending, credit cards, credit reporting or monitoring, financial planning), (b) small business management (e.g., small business accounting, payroll, payments, email marketing, website creation/hosting and ecommerce), and (c) tax preparation, tax filing and tax planning . During the Term, Winner (and Winner’s Group, if applicable) shall not publicly disparage the Contest Entities or their products or services, either in public or private.
9. DISCLAIMER: Contest Entities, Instagram, TikTok, and each of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, consultants, contractors, legal counsel, public relations firms, employees and advertising, fulfillment and marketing agencies (collectively, the “Released Parties”) will not be responsible for: (a) any late, lost, misrouted or deleted Submissions; (b) phone, electronic, hardware, software, network, internet, or other computer or communications-related malfunctions or failures beyond Sponsor or the Released Parties’ reasonable control; (c) any Contest disruptions, injuries, losses or damages caused by events beyond the reasonable control of Sponsor or the Released Parties; or (d) any printing, programming or typographical errors in any print or digital materials associated with the Contest.
10. LIMITATIONS OF LIABILITY AND RELEASES & INDEMNIFICATION: By participating in the Contest, Entrant releases Contest Entities and all Released Parties from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or delivery, mis-delivery, acceptance, possession, use of or inability to use any prize (including claims, costs, injuries, losses and damages related to rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SPONSOR OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO PARTICIPATION IN THE CONTEST OR ANY PRIZE, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES (JOINTLY) ARISING OUT OF OR RELATING TO PARTICIPATION IN THE CONTEST OR USE OF OR INABILITY TO USE ANY PRIZE EXCEED $10. ENTRANT HEREBY AGREES TO INDEMNIFY AND HOLD HARMLESS CONTEST ENTITIES AND THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS EXPENSES, LOSSES AND LIABILITIES INCLUDING REASONABLE ATTORNEYS' FEES AND PUNITIVE DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE CONTEST AND THE SUBMISSION, AND ANY USE THEREOF, INCLUDING THOSE ARISING FROM ANY BREACH, OR ALLEGED BREACH, OF THE REPRESENTATIONS AND PROMISES PROVIDED BY YOU IN THIS AGREEMENT
11. DISPUTES: These Official Rules are governed by the laws of the State of New York, without regard to New York conflict of law provisions. By participating in the Contest, each Entrant irrevocably consents to the exclusive jurisdiction and venue of the state and federal courts in New York for all disputes arising out of or relating to the Contest. Any legal actions against Sponsor must be commenced within two year(s) after the claim arose. Any controversy or claim arising out of or relating to the Contest, or these Official Rules will be settled by binding arbitration before JAMS, Inc. and in accordance with the JAMS Comprehensive Arbitration Rules and Procedures. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. Each party shall be responsible for its costs incurred in such arbitration, but if Entrant cannot afford to pay for the arbitration Entrant agrees to provide Sponsor the option of paying the arbitrator before seeking to initiate any other form of dispute resolution, including litigation. The arbitration will be conducted in New York, New York, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. The award of the arbitrator shall be final and binding upon the parties without appeal or review. Notwithstanding the foregoing, Sponsor may immediately seek any interim or preliminary injunctive relief from any court of competent jurisdiction, as necessary to protect its rights or property (including intellectual property rights).
12. NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF: Each Entrant and the Winner (or Winner’s Group), understand and acknowledge that the Contest Entities have wide access to ideas and other materials, and that new ideas are being developed by their own employees, suppliers, and/or business partners. Each Entrant and the Winner (or Winner’s Group) also acknowledges that many ideas may be competitive with, similar or identical to an idea and/or each other in theme, idea, format or other respects and agrees that he or she will not bring any action against Contest Entities or any third parties, and will not be entitled to any compensation, as a result of any Contest Entities or any third party’s use of any such similar or identical material. Each Entrant and the Winner (or Winner’s Group) acknowledges and agrees that the Contest Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of copyright, patent, trade secret, or other intellectual property rights in and to the Submission.
13. GENERAL CONDITIONS: Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to change these Official Rules at any time, in its discretion, and to suspend or cancel the Contest or any Entrant's participation in the Contest should any causes beyond Sponsor's reasonable control affect the administration, security or proper participation in the Contest, or Sponsor otherwise becomes (in its sole discretion) incapable of running the Contest as planned. Entrants who violate these Official Rules, violate any law, rule, or regulation in connection with participation in the Contest, tamper with the operation of the Contest or engage in any conduct that is detrimental or unfair to Sponsor, the Contest or any other Entrant (as determined in Sponsor's sole discretion) are subject to disqualification. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect. The use of the terms “include” or “including” in these Official Rules is illustrative and not limiting.
14. PRIVACY: The information provided by Entrants will only be used as provided in Sponsor’s privacy policy or these Official Rules. See Sponsor’s privacy policy at https://unitedmasters.com/en/privacy (“Privacy Policy”) for details regarding use of the personal information collected in connection with this Contest.In the event of any conflict between these Official Rules and such privacy policy, these Official Rules shall control.
15. WINNER: For the name of the Winner (first name, last initial, city and state only), send a stamped, self-addressed, business-size envelope to: UnitedMasters/Duet Winner Request, Attn: Marketing Dept, 10, Jay Street, Brooklyn, NY 11201. Requests must be received no later than July 31, 2023.
