Intuit Builder Terms of Use


Intuit Builder is offered by Intuit Inc. and/or its subsidiaries and affiliates (referred to as “Intuit”, “we”, “our”, or “us”). These Intuit Builder Terms of Use (“Builder Terms”) constitute a legal agreement between you and Intuit governing the use of the Intuit Builder, an online product that uses generative artificial intelligence (“AI”) to create software based on your prompts and other inputs (collectively, “Input”) and runs that software within the QuickBooks Online (“QBO”) product. If you are an individual using Intuit Builder on behalf of another person, whether an individual or a company, you and such person are both bound by these Builder Terms. You, any other person that you represent and any authorized user of your account are collectively referred to as “you.”

By accessing or using Intuit Builder, you agree to these Builder Terms and establish its Effective Date. If you do not agree with these Builder Terms, then you may not use or access Intuit Builder.

These Builder Terms supplement and do not replace any other agreement you may have with Intuit, which may include but is not limited to the “Intuit Website Terms of Service,” “QuickBooks Terms of Service,” the “QuickBooks Desktop and Payroll End User License Agreement,” or the “Intuit Enterprise Suite Terms of Service” (collectively, the “Intuit Terms.”) Capitalized terms used and not otherwise defined in these Builder Terms have the meanings given to those terms in the Intuit Terms. You understand and agree that:

Part A: Your Participation in Intuit Builder

  1. You must be at least 18 (eighteen) years of age and capable of forming a binding contract with Intuit to participate in Intuit Builder and to use Intuit Builder.
  2. You must be based in the United States.
  3. You are not included in lists maintained by the United States or other applicable jurisdictions prohibiting transactions with and the export of US products to certain entities, people, and jurisdictions.
  4. You must have an active QuickBooks account or Intuit Enterprise Suite account. 
  5. You will be participating in and using the beta version of Intuit Builder. “Beta” means a feature, function, or technology that Intuit is making available to you that has not been made generally available to all of our customers or the public. Intuit Builder may contain bugs, errors, and other problems, it is provided “as-is,” and you should double-check Outputs before making important decisions.
  6. You may provide or we may ask you to provide feedback, suggestions and/or ideas on Intuit Builder ("Feedback"). We may use any Feedback you choose to provide (i) to improve or make modifications to Intuit Builder; (ii) to develop new features, products, and services; and (iii) in our advertisement or marketing materials. You understand that you will not receive any compensation for your Feedback. You grant us a perpetual, worldwide, fully transferable, sub-licensable, irrevocable, fully paid-up, royalty free license to use and incorporate your Feedback at our discretion. 
  7. WITHOUT LIMITING ANY OTHER DISCLAIMERS IN INTUIT TERMS, YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR ACCESS TO AND USE OF INTUIT BUILDER IS AT YOUR SOLE RISK, AND THAT INTUIT BUILDER IS PROVIDED ON AN "AS IS", “AS AVAILABLE”, AND “WITH ALL FAULTS BASIS”, AND IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTUIT DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED WITH RESPECT TO INTUIT BUILDER. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, INTUIT DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY AND ALL (I) WARRANTIES OF MERCHANTABILITY, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE; (II) WARRANTIES AGAINST INFRINGEMENT OF ANY THIRD-PARTY INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS; (III) WARRANTIES RELATING TO DELAYS, INTERRUPTIONS, ERRORS, OR OMISSIONS IN INTUIT BUILDER, OR ANY PART THEREOF; (IV) WARRANTIES THAT INTUIT BUILDER IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (V) WARRANTIES RELATING TO THE ACCURACY OR CORRECTNESS OF INTUIT BUILDER, OR ANY CONTENT OR OTHER MATERIAL GENERATED USING INTUIT BUILDER; (VI) WARRANTIES RELATING TO PRIVACY OR SECURITY OF INTUIT BUILDER OR OTHERWISE RELATING TO PERFORMANCE, NONPERFORMANCE, OR OTHER ACTS OR OMISSIONS BY INTUIT OR ANY THIRD PARTY; AND (VII) WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR USAGE OF TRADE. FURTHER, AND WITHOUT LIMITING THE GENERALITY OF ANY OF THE FOREGOING, THERE IS NO WARRANTY THAT INTUIT BUILDER, OR ANY CONTENT OR OTHER MATERIAL GENERATED THEREBY, WILL MEET YOUR NEEDS OR REQUIREMENTS OR THE NEEDS OR REQUIREMENTS OF ANY OTHER PERSON. INTUIT MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, THAT YOUR ACCESS TO OR USE OF INTUIT BUILDER WILL BE FREE FROM ERROR, INACCURACIES, OMISSIONS, INTERRUPTION, DEFECT, OR DELAY. INTUIT IS NOT LIABLE TO YOU IF, FOR ANY REASON, INTUIT BUILDER IS UNAVAILABLE AT ANY TIME OR FOR ANY PERIOD. THE CONTENT AND OTHER MATERIAL THAT IS GENERATED USING INTUIT BUILDER MAY NOT BE PROTECTABLE UNDER LAW, AND INTUIT MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, THAT ANY SUCH MATERIAL IS PROTECTABLE UNDER LAW, INCLUDING UNDER ANY COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS LAW.
  8. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.


Part B: Important Things for You to Know

  1. Intuit may modify, suspend or discontinue its Platform, Services, and Intuit Builder, including its name and design, at any time (without any notice to you). Intuit may limit, suspend, or terminate Intuit Builder or your participation in or access to Intuit Builder at any time, with or without cause. And if we do so, we are not in any way liable to you for any modification, suspension, termination, or discontinuation.
  2. Intuit may modify or change these Builder Terms from time to time. If we modify or change these Builder Terms in a material way, we will provide you notice that the Builder Terms have changed. Any modifications or changes will be effective immediately and apply to your continued use of Intuit Builder.
  3. Intuit may expand Intuit Builder to other products on its Platform, without notice. If you use Intuit Builder within other products, those products’ respective terms apply in addition to these Builder Terms.


Part C: The Service

  1. When you use Intuit Builder, Intuit will use third-party service providers to process your Input and generate source code and other assets using generative AI. You expressly agree that Intuit may share your information with such third parties to process for these purposes. Intuit’s third-party service providers will not use your data to train, fine-tune, or otherwise improve their AI intelligence models.
  2. Intuit Builder will create, compile, and deploy source code and possibly other media (collectively, “Output”) based on the Input you provide. Intuit retains all rights in the Output, which shall be solely Intuit’s intellectual property. You assign Intuit all rights you may have in the Input, as well as the Output (to the extent you may retain any such rights). Any source code portion of the Output will be Intuit’s trade secret, and you agree to treat it as such. You may not export any portion of the Output from the Intuit Platform.
  3. Intuit grants you a limited, revocable, non-transferable, non-sublicensable license to use the Output solely on Intuit’s Platform and only in the manner directed by Intuit.
  4. Intuit may freely use the Output for any purpose, including to develop and improve its products and to distribute it to other users, and you have no right to and agree not to claim any rights, compensation, or royalties in relation to such use. 
  5. Intuit Builder uses AI. While AI is designed to improve your experience with QuickBooks, it is evolving, may have limitations, and may generate outputs that are inaccurate or inappropriate to your situation. Information generated by AI may contain errors and may not be unique.
  6. You acknowledge and agree that you are solely responsible for reviewing, testing, and validating all Outputs generated by Intuit Builder (including data represented in Outputs) before use in your business operations. Intuit Builder is a tool to assist you and does not constitute professional advice or guaranteed software.
  7. We may use AI to process personal information about your customers, vendors, and prospects (defined as “Business Connection Data” in the QuickBooks Terms of Service). All processing of Business Connection Data through Intuit Builder is subject to the relevant sections of the QuickBooks Terms of Service, the Intuit Global Privacy Statement and the QuickBooks Online Data Processing Agreement
  8. We reserve the right to charge for Intuit Builder with prior written notice.


Part D: Use

You agree that in connection with Intuit Builder (including but not limited to Input and Output) you will not: 

  1. Create or share any content that is unlawful, harmful, threatening, abusive, vulgar, obscene, defamatory, pornographic, invasive of another’s privacy, or is otherwise objectionable;
  2. Use or attempt to use Intuit Builder for any purpose that is in violation of any applicable law, would create any legal obligations or liability for Intuit, or is otherwise an infringement on the copyright, trademark, privacy, publicity, or other proprietary right of any third party;
  3. Upload, prompt, or otherwise provide to Intuit Builder materials which you do not have the right to use or share, including but not limited to content that is illegal or materials that are protected by others’ intellectual property or privacy rights;
  4. Access, attempt to access or use Intuit Builder to engage in any form of benchmarking or competitive intelligence research or analysis of Intuit’s products, which includes leveraging data or functionalities to compare with other products or services, develop competing products or services, or otherwise gain a competitive advantage;
  5. Modify, decompile, reverse engineer, disassemble or reproduce the Intuit Builder service, its underlying components, or any of the Intuit licensed or owned software, systems, or applications used to provide Intuit Builder; or
  6. Use deceptive, misleading, or unethical practices that are or might be detrimental to Intuit or the general public, such as to disseminate misinformation and/or malware. 

Part E: Liability and Privacy

  1. You are responsible for understanding and complying with all applicable laws, rules, codes, regulations, and policies currently in effect, as they are amended and as they become effective, that are applicable to your use of Intuit Builder and determining whether our Platform, including Intuit Builder, is suitable for you in light of such laws, rules, and regulations.
  2. To the fullest extent permitted by law, Intuit and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use Intuit Builder; (ii) any unauthorized access to or use of our servers or Intuit Builder; (iii) any interruption or cessation of transmission to or from Intuit Builder; or (iv) any bugs, viruses, or other harmful components. The total aggregate liability of Intuit and its affiliates arising out of or relating to these Builder Terms and / or your use of Intuit Builder is as specified in the Intuit Terms applicable to you. The above limitations apply even if Intuit and its affiliates have been advised of the possibility of such damages. These Builder Terms set forth your exclusive remedy with respect to Intuit Builder. 
  3. These BuilderTerms expressly incorporate the relevant sections of the Intuit Terms applicable to you regarding arbitration, dispute resolution, and choice of law.
